Second Circuit Force Majeure Case

The Second Circuit recently held that COVID-19 is a "circumstance beyond [the parties'] reasonable control" for the purposes of the force majeure clause in their agreement despite the fact that New York law requires force majeure clauses to be read narrowly.    The court declined to decide whether the pandemic constituted a "natural disaster" given its reliance on the "circumstances beyond the parties' control" provision of the clause.
